Sec 388A of the Companies Act, 1956 mandates every company in India whose share capital is in excess of Rs. 20 million to have a Whole-time Company Secretary.
Companies whose paid up capital is less than 20 million are not required to appoint a Company Secretary, Nevertheless, such companies are required to hold Board/Share meetings and submit necessary forms and returns to the authorities from time to time.
